Terms of Use

1. TERMS OF USE OF THE PLATFORM


The following terms apply to any use of the Valified platform ("the Platform") and all other websites, applications, programs, services, and tools offered in connection with the Platform by or on behalf of Valified and which refer to these terms ("Terms of Use").

The Terms of Use apply regardless of how you access the Platform, including, for example, via computer, tablet, mobile device or other terminal equipment.

Although we do our best to provide updated and accurate information, price changes, unintended errors and similar issues may occur on Valified.com, and we therefore point out that all content on Valified.com is offered "as is" without guarantees of completeness or correctness and without warranties of any kind.

 

Any user wishing to use the Platform must accept these Terms of Use. If the user does not wish to accept the Terms of Use, the Platform must not be used.

3. INTELLECTUAL PROPERTY RIGHTS

All rights to content on the Platform belong to Valified ApS and are protected by the applicable legislation at any given time. Trademarks, service marks, product names, logos, products, and others that may appear on the Platform may not be used, copied, sold, distributed, or reproduced without prior written permission from Valified ApS.
 

4. THE PLATFORM

The Valified platform is a platform focused on collecting and analyzing data about ESG/sustainability.
 

The Platform's features include, among other things, the possibility to create a survey with a number of questions related to sustainability, collect and analyze responses to these questions, prepare statistics, display real-time analyses and process data for benchmarking purposes.

The Platform is directed solely at businesses.
 

5. USE OF THE PLATFORM

Companies can use the Platform to:

  • collect and provide data about their own sustainability efforts

  • collect data about others’ sustainability efforts

  • update and resubmit their own data

  • view analyses based on the submitted data and

  • compare their own business with other businesses and their sustainability initiatives using anonymized data

  • seek inspiration from anonymized data submitted by other businesses without necessarily being existing users or by having received a request for data submission from other businesses, i.e., typically in cases where businesses as an offer/advantage have gained access to the Platform via a sponsor as part of a customer relationship or other collaboration with the sponsor and thereby have had sponsored or otherwise provided access to the Platform.
     

The Platform works as follows:

  1. The business wants insight into others' data and work with sustainability and therefore creates a survey with relevant questions ("questionnaire") on the Platform, or the business sponsors or otherwise provides access for other businesses to the Platform, for example to serve a customer relationship or other collaboration

  2. The business must in this regard enter or otherwise provide the first name, last name, e-mail address and telephone number of a contact person at each of the businesses from which information is requested or to which access is sponsored or otherwise provided to the Platform. It is the responsibility of the business to select the relevant businesses and contact persons and must ensure that the contact information is lawfully disclosed to Valified ApS for the purpose of using the Platform to collect data on sustainability or other use of the Platform.

  3. The Platform sends an e-mail invitation to the businesses containing a deep-link to the Platform. In cases where the business requests other businesses to submit data in the Platform in order to gain insight into the other businesses' sustainability work, a questionnaire is attached, which can be completed by either the contact person or another person at the business other than the contact person.

  4. The businesses that access the Platform via deep-link (or otherwise) automatically become users of the Platform. In this connection, a user account is created.

  5. When a business accesses and uses the Platform - either to conduct a survey and answer questions about the business's sustainability work or as part of a sponsored or otherwise provided access to the Platform - data will be shared with (i) the requesting - or as the case may be the sponsoring or otherwise providing - business, (ii) the Platform and (iii) other businesses on the Platform (if relevant and within the Platform's purpose). This is a condition for using the Platform. Reference is made to the business's consent under section 6.

When a business user accesses the Platform and its content, the user may not unlawfully:
 

  • Unreasonably burden the Platform's infrastructure or disrupt its operation

  • Use any kind of robot or other automatic means to access the Platform or data available on the Platform

  • Compile or otherwise collect data about other businesses than intended with the Platform

  • Request contact information from other business users, including e-mail addresses or other personal information without the user's knowledge and contrary to the applicable data protection legislation

  • Market its business on the Platform

  • Harass other users or post material which, in the opinion of Valified ApS, is offensive or violates the rights or privacy of others or constitutes activities contrary to the Criminal Code (for example, dissemination of defamation)

  • Create, register, or act on behalf of a business which the person does not directly work for, own, co-own, or represent or act on behalf of, e.g., as an advisor

  • Distribute or assist in distributing viruses, spyware, other malicious software code, or e-mails that are unwanted by the recipient (spam, phishing, chain letters or similar

  • Perform actions that disrupt or damage computers or systems on the internet, or actions that seek unauthorized access to computers or systems connected to the internet, or that disrupt or damage the Platform (hacking);

  • Infringe third-party rights (including copyrights) through upload, download, distribution or similar

  • Use the Platform in a way that may harm Valified’s name, reputation, or goodwil

  • Perform other actions in violation of applicable law
     

​If this section 5 of the Terms of Use is not complied with, the user in question may be excluded from using the Platform immediately and without notice or time limitation.
 

6. CONSENT TO SHARING COMPANY DATA

 

By accepting these Terms of Use, the company accepts that the company data provided when using the Platform, including by responding to questionnaires and preparing reports on the Platform based on a request from other companies to provide data or based on a sponsored or otherwise provided access to the Platform, may be shared with:

  1. The company that has requested the submission of company data on sustainability through the Platform or, as the case may be, the company that has sponsored or otherwise provided access, for example as an offer/advantage as part of a customer relationship or other collaboration.

  2. Valified ApS as provider of the Platform for the purpose of (i) being able to send the responses to the company that has requested them or has sponsored or otherwise provided access to the Platform, and (ii) its own use of company data for analysis and benchmarking.

  3. Other companies on the Platform, to the extent such sharing is relevant to the company, for example because the company chooses to respond to a questionnaire from several companies, and the sharing is within the Platform's purpose. Data will only be shared in anonymized form.

The company understands that all company data submitted by completing the questionnaire and preparing reports, including any company data on internal matters, goals, budgets or other information that may have the nature of trade secrets, may be shared as stated above.

There is no sharing with other company users on the Platform, except for anonymized company data for benchmarking purposes.


The consent will be used in relation to information about the relevant attribute, e.g., water consumption, and not the specific value collected either as a response to a survey or otherwise available on the Platform. This means that later updates to the value, e.g., in connection with answering a similar survey from another company, will also be available to other companies on the Platform, including the requesting company. Consent to share information is therefore recorded attribute-by-attribute and not value-by-value. In other words, the company consents to sharing information about e.g. water consumption, and not just to sharing a specific value for this attribute (e.g., the consumption in a specific year).
 

This consent is a condition for using the Platform.
 

7. ACCURACY OF INFORMATION PROVIDED TO THE PLATFORM

 

By submitting information to the Platform, the company confirms that all information is submitted in good faith, is accurate, and to the best of the company’s knowledge reflects its actual sustainability efforts. Valified ApS reserves the right to exclude the company from using the Platform immediately and without notice or time limitation if it is found that the company has knowingly provided incorrect information, manipulated data, or otherwise attempted to give a misleading impression of its sustainability efforts. Valified ApS assumes no responsibility for this and reserves the right to immediately delete such information and pursue any claim related to the company’s failure to comply with applicable legislation in this area.
 

8. CHANGE OF CONSENT AND ACCOUNT TERMINATION

The company can at any time view its given consents for sharing company data with other companies on the Platform. If the consents are withdrawn or changed to include only certain companies, access to the company’s data via the Platform for the affected recipient is terminated.
 

Such changes apply only going forward and do not affect the use of company data prior to the change, including if the data has been exported, see section 9. Valified ApS does not inform other companies of any withdrawn or changed consent, including if a company has exported data from another company as described in section 9.
 

If a company no longer wishes to share data with Valified ApS, the company must delete its account.
 

If a company deletes its account, all consents automatically cease to apply, and company data will no longer be available to other companies or Valified ApS.
 

Regardless of the withdrawal or change of consent and/or account deletion, company data will remain on the Platform in anonymized form and will continue to be included in statistical aggregations. Valified ApS does not guarantee complete deletion of company data.
 

Users associated with the company who are not linked to other companies will be automatically removed from the Platform when the company account is closed. Users who are also linked to other companies will remain registered on the Platform.
 

9. DOWNLOAD OF COMPANY DATA

 

Valified ApS has no obligation to store the submitted company data. Therefore, the company must ensure that it creates the necessary backups etc. to store the relevant company data from the Platform for its own purposes.

The company can freely export (download) its own company data from the Platform as long as the account is not deleted.


If data from other companies is to be exported, a separate agreement with Valified ApS may be made to purchase a solution that enables the export (download) of all company data for which the company has sharing consent. This feature enables backup and further data processing by the exporting company.
 

The company cannot request to download data from companies that have not permitted sharing of data to the company in question.
 

Valified ApS does not inform companies that their data has been exported and does not assume any such obligation, even under a separate agreement.
 

Valified ApS has no obligation to return company data from the Platform, and no storage of copies or similar takes place.
 

10. ACCEPTANCE OF COMPANY LOGO USAGE

 

If the company user uploads the company’s logo, the company simultaneously accepts that Valified ApS may use the company’s logo in connection with the Platform’s functionalities. The company logo may only be uploaded if the respective company user is authorized to do so (e.g., if the user is the company owner, has power of attorney, or has obtained specific permission).
 

11. ACCEPTANCE OF DATA USAGE FOR PLATFORM DEVELOPMENT


Valified may use platform data to maintain, offer, price, and develop the Platform. See section 8 for terms after account deletion.
 

12. DISCLAIMER AND DUTY TO HOLD INDEMNITY

 

Valified disclaims all liability in relation to these terms, services, or use of the service, whether arising in or outside of contract, including for consequential or other indirect losses, as well as losses resulting from ordinary negligence.


Regardless of the type of loss or the basis for liability, Valified’s total liability is limited to the user’s payment during the 12 months prior to the liability-incurring event, but in any case, a maximum of DKK 10,000.
 

Valified is not responsible for third-party solutions that are available and/or integrated with the Platform. Therefore, Valified cannot be held liable for the accuracy, completeness, quality or reliability of information or results obtained through these third-party solutions. Likewise, Valified cannot be held liable for the availability, security or functionality of third-party solutions, including potential damages and/or losses caused by them. The user bears the burden of proof that their loss cannot be attributed to third-party solutions.

The information on the Platform is provided by other companies, and the analyses and benchmarking conducted on the Platform are based on this data. No guarantees are provided for the accuracy or completeness of this information. The data is user-submitted, and specific reservations are made for typographical and writing errors and other inaccurate information.


No information on the Platform should be used as a substitute for actual professional advice, including legal, advisory or investment decisions. Neither Valified ApS, its employees, other contributors to the general information on the Platform nor any other representatives of Valified ApS can be held liable for any consequences of using the information on the Platform, including for any direct or indirect losses, damages, derivative claims, costs and consequential losses, unless otherwise required by mandatory rules under Danish law.
 

The above limitation of Valified ApS’ liability also includes any damage or virus that may affect the user’s computer equipment or other property resulting from access to or use of the Platform.
 

Valified ApS is not responsible for outages or temporary interruptions on the Platform, power failures or internet connection disruptions, vandalism on the system (both physical and via computer viruses or hacking), or other circumstances beyond Valified’s control.
 

Valified ApS also assumes no responsibility for the storage and/or backup of company data and cannot be held liable for this, including but not limited to any loss of data, unavailability, failure to delete or store, etc. Valified ApS cannot be held responsible for third-party use of company data, including any redistribution, even if the data has been exported from the Platform.
 

The company shall indemnify Valified ApS to the extent that Valified ApS is held liable to third parties for damage or loss for which Valified ApS is not liable to the company, cf. the above disclaimer.
 

As stated above in section 5, it is the company’s responsibility to select the relevant companies and contact persons and to ensure that the contact information is lawfully disclosed to Valified ApS for the purpose of using the Platform to collect data on sustainability or other use of the Platform. Valified ApS assumes no responsibility for this and reserves the right to immediately delete such information and pursue any claim related to the company’s failure to comply with applicable data protection rules when disclosing information to Valified ApS.

13. CHANGES TO TERMS AND WEBSITE

 

Valified ApS reserves the right to change, modify, replace or delete parts of the content on the Platform and may limit access to or discontinue the distribution of the Platform at any time without notice and at its sole discretion.
 

14. LINKS TO OTHER WEBSITES

 

Any links to third-party websites or platforms will be included as a service to users of the Platform. Valified ApS has no responsibility for or control over the content or operation of such websites and platforms and assumes no responsibility for any damage that may arise in connection with the content or operation thereof.

15. PERSONAL DATA

 

The processing of personal data (first name, last name and email address of a contact person at each of the companies from which information is requested or to which access is sponsored or otherwise provided, as well as any additional personal data that may be submitted in connection with the use of the Platform, including in response to questions) is carried out in accordance with Valified ApS’ privacy policy, which can be accessed here.

16. COOKIES

When you use this Platform, we use cookies if you have consented to their use. You can read more about our use of cookies in our cookie policy, which can be accessed here.

17. PAYMENT TERMS FOR SUBSCRIBERS

The following payment terms apply to subscriptions with Valified:

The company can choose between annual payment and monthly payment.
 

For annual payment: The company’s subscription is valid for a continuous 12-month period and automatically renews annually. If the subscription is terminated within the 12-month period, no refund is given for the remaining period. Termination can be done with immediate notice, but no later than 30 days before expiration.
 

For monthly payment: The company’s subscription is valid for a continuous 12-month period and continues automatically on a monthly basis. If the subscription is terminated within the 12-month period, it can be done with immediate notice, but no later than 30 days before expiration. No refund is given for the remaining period.
 

18. GOVERNING LAW AND JURISDICTION

 

The Terms of Use and the use of the Platform are subject to Danish law

The City Court of Copenhagen shall have jurisdiction over all matters, whether a case is based on rights and obligations in or outside of contract.
 

19. REVISIONS OF TERMS OF USE

Valified ApS may revise and update these Terms of Use at any time. Any user who accesses or otherwise visits the Platform accepts the Terms of Use, and it is therefore recommended that users regularly review the applicable Terms of Use.
